The Client is referred to as The Client, You, Your.
Our proprietary Content Management System is referred to as CMS
2. Division of responsibilities.
2.1. Responsibilities of NZ Site Design.
2.1.1. Website design and construction of page templates.
2.1.2. Set up of our proprietary CMS database and integration of all templates.
2.1.3. Initial setup of functionality detailed under the agreed service package and any additional functionality developed specifically for The Client, as described in the initial quote.
2.1.4. Advice on incorporating key words into the site for search engine optimization(SEO) purposes.
2.1.5. Input of initial website text and images for one sample item for each main site section.
2.1.6. Comprehensive testing of the site prior to “go live”.
2.1.7. Three hours of training nominated staff members on CMS.
2.1.8. Website hosting.
2.1.9. Set up and testing of Email addresses, upon client's request.
2.1.10. To perform all services in a timely, professional manner.
2.1.11. To respond to all client queries in a timely and professional manner.
2.1.12. To provide a quote or estimate, before undertaking any additional work required to complete the website that has not been agreed on in the initial quote.
2.1.13. To employ our best efforts to remedy any functional issues after the website is built.
2.2. Responsibilities of The Client.
Website design is a collaborative effort. As a client, you commit to:
2.2.1. Promptly provide a good quality graphical logo, if using.
2.2.2. Promptly provide good quality artwork required to complete your website.
2.2.3. Follow our instructions relating to the formats we require this information so we can work with it effectively.
2.2.4. Promptly provide all initial website text.
2.2.5. Provide a default set of keywords for search engine optimization (SEO) purposes and select and input keywords for all top-level categories defined.
2.2.6. Agree on final structure and design of the site prior to construction.
2.2.7. Input of all text and images for remainder of website (1st item of each site section done by NZ Site Design).
>2.2.8. Approve all aspects of site at key development points.
2.2.9. Ensure any employee or agent of your company dealing with us is authorised to make decisions relating to the website, on behalf of your company.
2.2.10. Ongoing updating of website content once the site is live.
2.2.11. Ongoing administration of the Forum, if using.
3. Website Design
3.1. Your website will be based on the information detailed in the initial quote and the design template presented to You as a screenshot. Any change to the design template, CMS functionality, or your website's functionality after the project is under way will incur an additional charge, charged at our $80NZD per hour, minimum charge of half hour.
3.2. Included with the agreed service package, your website concept can be revised up to the number of times detailed in that service package. If any further revisions are required, these will be done at $80NZD per hour, minimum charge of half hour.
3.3. Once the design concept is approved, any additional design changes needed, will be done at an hourly rate, minimum charge of half hour. Approvals can be made verbally or in writing.
3.4. Once the website has been built, you will be able to log in and begin to add content to the website through the Content Management System (CMS). Alternatively, if you prefer, you may provide us with your content to load for you. This will be done at $80NZD per hour, minimum charge of half hour.
4. Website Hosting and CMS License.
4.1. NZ Site Design will be responsible for website hosting, to ensure the server is compatible with your Content Management System (CMS).
4.2. Included with this service, you will also receive CMS support if you need guidance or help updating your website in future. You'll receive free support for the 1st month, then 30mins support per month free. Extra support after that charged at $80NZD per hour, minimum charge of half hour.
4.3. Website hosting and CMS licensing fee will be charged at the price quoted in the initial quote as per agreed service package, paid monthly by Direct Debit, or annually in advance via bank transfer.
4.4. Website hosting payments will begin once the design concept is approved, and the website gets loaded on the server for coding. Payments will fall on the 1st of the month.
4.5. A copy of your website can be provided on request as a .WAR file, to provide added security and peace of mind in the unlikely event that NZ Site Design was unable to continue hosting the website.
4.6. NZ Site Design will make all reasonable efforts to ensure website loading speed and uptime is at optimum levels, but will not be held liable by the client for issues relating to server performance or website functionality.
5. Payment Terms
5.1. All prices quoted are excluding GST.
5.2. Before beginning your project, a 50% deposit of the website setup fee price is required. This deposit is non-refundable.
5.3. The remaining 50% of the website setup fee payment will be invoiced when the site is built. Note this is not the launch or “go live” phase, which will occur once the content is loaded.
5.4. Additional functionality and design changes may be invoiced as it is completed, or in a combined invoice with the website setup fee remainder.
5.5. All invoices are due 14 days from invoice date unless otherwise stated.
5.6. In extreme cases of continued non-payment, we reserve the right to engage our collections agency to obtain outstanding funds. In such cases, the client agrees to pay any associated collection costs.
5.7. In case of continued non-payment of the hosting fee, we reserve the right to take the client's website off line.
